Blue Gold raises $5m, secures $75m funding facility

Blue Gold Limited (Nasdaq: BGL), a gold development and technology enterprise, has confirmed the successful closing of a USD 5million dollar senior convertible notes private placement with a specific accredited investor.
In addition to the notes, Blue Gold has entered into an agreement with an institutional investor to establish a USD 75 million equity line of credit.
Once certain conditions are fulfilled, this facility will provide the company with additional capital to advance its operational programmes and long-term strategic initiatives.
The senior convertible notes, issued at an 8 per cent original issue discount, comprise an initial tranche of USD 3.5 million, maturing on 3 September 2026, and a subsequent tranche of USD 1.5 million that may be issued subject to customary closing conditions being satisfied or waived.
These notes carry a conversion price of USD 13.51 per share and bear interest at seven per cent annually.
In connection with the placement, the company has also granted the investor warrants for up to 215,299 Ordinary Shares at an exercise price of USD 16.88 per share.
The equity line of credit arrangement allows Blue Gold to issue and sell up to USD 75 million in new ordinary shares to the accredited investor, conditional on the satisfaction of requirements such as the filing and effectiveness of a registration statement with the United States Securities and Exchange Commission, prevailing market conditions, and specific regulatory approvals.
The combined proceeds from the notes and equity line are expected to reinforce the company’s balance sheet, supply working capital, and advance critical growth strategies across its core business areas.
These include the acquisition of high-value mining projects in gold, uranium, and critical minerals, aimed at strengthening Blue Gold’s global resource position.
The company also plans to expand its Digital Gold Initiative, which is highlighted by the creation of a blockchain-based stablecoin backed by physical gold.
This initiative offers investors a secure link between tangible metals and the digital asset economy.
Gold continues to serve as a cornerstone of international finance, and the appetite for gold-backed digital instruments is expanding rapidly.
By integrating real mining resources with tokenised gold offerings, Blue Gold aims to create shareholder value while addressing the growing market demand for secure, asset-backed digital currencies.
