Kosmos Energy withdraws interest in Tullow Oil acquisition

Kosmos Energy has officially announced it is no longer pursuing the acquisition of all shares in Tullow Oil.

“Kosmos Energy can now confirm that it does not intend to make a firm offer for Tullow at this time,” the company stated.

The decision means Kosmos Energy is no longer bound by Rule 2.8 of the UK Takeover Code, which mandates specific procedures, including public disclosures, regulatory updates, and formal negotiations when a takeover is under consideration.

On December 12, 2024, Tullow Oil confirmed reports of preliminary discussions with Kosmos Energy regarding a possible all-share acquisition. In a circular to investors, Tullow indicated that Kosmos had until January 9, 2025, to announce its firm intention to make an offer, in line with takeover regulations. Tullow noted that the deadline could be extended with approval from the Takeover Panel.

Tullow Oil’s response

Following Kosmos’ withdrawal, Tullow Oil issued a statement on December 17, 2024, affirming its confidence in its standalone business model. The board highlighted that Tullow remains well-positioned to optimize its capital structure and address its debt maturities.

Industry analysts have described the development as significant, though uncertain, for Tullow’s future prospects. Many expected the potential deal to provide a lifeline for Tullow, which has been grappling with financial challenges.
